There are four pockets outside and one pocket inside.

With some room to spare. You could carry your drill, drill bits, hammer, screws a some other tools. I think it would be good for your corded drill. It's hard not to like this bag, it'd a good size without being too big.

No, the bag is not waterproof. That being said it's a decent small bag and would work well for hauling tools down to the boat just don't set it in the water an I think you will be happy. If you really need something waterproof is suggest a more traditional tool box.
